License Policy

This License Policy governs how ZynAlgo products may be used. The core rule is simple: one License equals one natural person equals one Account. It forms part of, and should be read together with, our Terms of Service.

1. Introduction and scope

This License Policy (the "Policy") sets out the terms on which ZynAlgo Global LLC ("ZynAlgo," the "Company," "we," "us," or "our") licenses its indicators, strategies, expert advisors, automation tools, templates, software, and related digital products (each, a "Licensed Product") offered under the ZynAlgo and IndicatorAssets brands. By purchasing, activating, downloading, or using any Licensed Product, you agree to this Policy. Capitalized terms not defined here have the meaning given in our Terms of Service.

2. Definitions

• "License" means the limited right to use a Licensed Product granted under this Policy.
• "Authorized User" means the single natural person in whose name the Account and License are registered.
• "Account" means the unique user account through which the License is provisioned and managed.
• "Activation" means the process of enabling a Licensed Product for use, including on a Third-Party Platform.
• "Third-Party Platform" means TradingView, MT4, MT5, NinjaTrader, or another platform on which a Licensed Product operates.

3. Grant of license

Subject to your compliance with this Policy, the Terms of Service, and payment of applicable fees, we grant the Authorized User a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable License to use the Licensed Product for their own individual purposes. The governing rule is: one (1) License = one (1) natural person = one (1) Account.

4. Ownership; license is not a sale

The Licensed Products are licensed, not sold. We and our licensors retain all right, title, and interest in and to the Licensed Products, including all intellectual-property rights, source code, algorithms, and know-how. You receive only the limited License expressly granted in this Policy, and no ownership or title passes to you. All rights not expressly granted are reserved.

5. Scope of permitted use

The Authorized User may use the Licensed Product solely for their own personal trading and educational purposes, on their own Accounts and Third-Party Platforms, and only in the quantity of seats, devices, or platform connections specified for the applicable product at the point of sale. Any use beyond that scope requires an additional License. The Licensed Product is provided for individual use only and may not be shared, pooled, or operated on behalf of a company, team, organization, or other group; each individual requires their own separately purchased License.

6. License restrictions

You shall not, and shall not permit or enable any third party to:

• share, lend, sell, rent, lease, transfer, assign, sublicense, or resell the License, Account, credentials, or Licensed Product;
• allow more than one natural person to use a single License or Account;
• reverse engineer, decompile, disassemble, decrypt, or attempt to derive source code, algorithms, or underlying ideas;
• circumvent, disable, bypass, crack, or tamper with any licensing, activation, authentication, or security mechanism;
• copy, reproduce, distribute, publish, or publicly display the Licensed Product except as expressly permitted;
• create derivative works from, or incorporate the Licensed Product into, any other product;
• use the Licensed Product to build a competing product or to train machine-learning or AI models;
• remove, alter, or obscure any copyright, trademark, or proprietary notice; or
• use automated means to extract, scrape, or harvest the Licensed Product or its outputs.

Any violation of this Section is a material breach and may result in immediate termination of the License and Account without refund, in addition to the remedies in Section 15.

7. License types

Licenses are offered as recurring Memberships, one-time Lifetime Licenses, and individual one-time products. The following summary is illustrative; the specific terms shown at the point of sale control.

8. Membership and lifetime licenses

A Membership License is valid only while the associated subscription is active and paid; access ends if the subscription lapses, is cancelled, or is suspended for non-payment. A Lifetime License grants use for the commercial lifetime of the specific product, meaning the period during which we continue to make that product commercially available. As stated in our Terms of Service, "lifetime" does not mean the lifetime of the customer or of the Company. We may retire, discontinue, or replace a product at our discretion, and future flagship or materially new products may be offered separately and excluded from existing Lifetime Licenses.

9. Platform licensing and provisioning

Many Licensed Products are provisioned to your Third-Party Platform account using the username or identifier you provide (for example, your TradingView, MT4, MT5, or NinjaTrader username). You must provide accurate identifiers and keep them current. Changing platform accounts may require re-provisioning, which we may limit to prevent abuse. As a courtesy, you may change the TradingView username linked to a License once per calendar month; additional or more frequent identifier changes are at our discretion and may be limited to prevent abuse. Your use of each Third-Party Platform is also governed by that platform’s own terms, and we are not responsible for platform changes, outages, or discontinuations.

10. Activation, binding, and verification

Licensed Products may include activation, device or account binding, usage limits, and periodic verification or license checks. We may limit the number of activations, devices, or platform changes associated with a License, and we may require re-verification. You must not interfere with these mechanisms. We may use technical and behavioral signals to confirm that a License is used by a single Authorized User.

11. Updates, maintenance, and support

We may, at our discretion, provide updates, fixes, or improvements to a Licensed Product, but we are under no obligation to do so and do not guarantee continued compatibility with any Third-Party Platform. Any updates we provide are part of the Licensed Product and are governed by this Policy. Support, where offered, is provided at our discretion and may vary by product and plan.

12. Eligibility and restricted users

Licenses are available only to persons permitted to receive them under applicable law. We may refuse, suspend, or terminate a License to comply with U.S. sanctions and export-control laws, and we may deny Licenses to competitors or to persons we reasonably believe intend to misuse the Licensed Product.

13. License enforcement and monitoring

We may monitor License usage and Account activity to detect sharing, piracy, cracking, and other misuse, using technical measures, usage analytics, and audit logs, consistent with our Privacy Policy. Where we reasonably detect suspicious or unauthorized use, we may investigate, throttle, suspend, or terminate access, and require re-verification, in each case at our discretion.

14. Compliance audit

We reserve the right, on reasonable notice, to verify your compliance with this Policy, and you agree to cooperate with reasonable requests for information necessary to confirm that a License is used by a single Authorized User within the permitted scope.

15. Consequences of violation

If you breach this Policy, we may, to the maximum extent permitted by law and without limiting our other rights:

• immediately suspend or terminate the License, Account, and access to all Services without refund;
• revoke provisioning on all Third-Party Platforms and place your identifiers on a block list;
• forfeit any related benefits, including affiliate commissions; and
• pursue all available legal and equitable remedies, including actual and statutory damages and recovery of costs and attorneys’ fees.

You acknowledge that unauthorized use, copying, sharing, or reverse engineering of the Licensed Products would cause irreparable harm for which monetary damages may be inadequate, and that we are therefore entitled to seek injunctive or other equitable relief, without the need to post a bond, in addition to any other remedy.

16. Suspension and termination

The License terminates automatically on any material breach, on termination of your Account, or, for Memberships, when the subscription ends. On termination, you must immediately cease all use of the Licensed Product and delete or remove all copies and installations within your control. Termination does not entitle you to any refund except as required by law.

17. Survival

Sections addressing ownership, restrictions, consequences of violation, disclaimers, limitation of liability, and dispute resolution survive termination of the License.

18. Disclaimers and limitation of liability

Licensed Products are provided "as is" and "as available," without warranties of any kind, and we do not warrant that any Licensed Product will be accurate, uninterrupted, error-free, or profitable. To the maximum extent permitted by law, our liability relating to the Licensed Products is limited as set out in our Terms of Service, and we are not liable for any trading losses or indirect, incidental, special, or consequential damages.

19. Dispute resolution

Any dispute arising out of or relating to this Policy or the Licensed Products is subject to the dispute-resolution, binding-arbitration, class-action-waiver, and governing-law provisions of our Terms of Service (Wyoming law and venue), which apply as if set out in full here.

20. Changes to this policy

We may update this Policy from time to time. The "Last Updated" date reflects the most recent revision. The Policy in effect when you activate or use a Licensed Product governs that use, and your continued use after changes take effect constitutes acceptance, to the extent permitted by law.
