Affiliate Terms

These Affiliate Terms govern participation in the ZynAlgo affiliate program. They form part of, and should be read together with, our Terms of Service, Earnings Disclaimer, and Privacy Policy. By enrolling, you agree to these Affiliate Terms.

1. Introduction and acceptance

These Affiliate Terms (the "Terms") form a binding agreement between you (the "Affiliate," "you," or "your") and ZynAlgo Global LLC, a Wyoming limited liability company ("ZynAlgo," the "Company," "we," "us," or "our"), governing your participation in our affiliate program (the "Program"). By enrolling in or participating in the Program, you accept these Terms.

2. Enrollment and eligibility

To participate, you must register for the Program, be of the age of majority in your jurisdiction, and provide accurate and complete information. Acceptance into the Program is at our sole discretion, and we may approve or reject any application and may suspend or terminate any account. You are responsible for maintaining the security of your affiliate account.

3. Definitions

• "Referral" means a person who reaches the Services through your unique affiliate link.
• "Qualifying Sale" means a completed, paid purchase by a Referral that is validly attributed to you and that has not been refunded, charged back, cancelled, or found to be fraudulent.
• "Commission" means the amount payable to you for a Qualifying Sale, at the rate published in your affiliate dashboard.
• "Attribution" means the process by which a sale is credited to an Affiliate, as described in Section 4.

4. Affiliate links, tracking, and attribution

We will provide you with unique affiliate links and tracking. Attribution operates on a last-click basis, meaning a sale is credited to the Affiliate whose link was most recently clicked before purchase, within the cookie window. The tracking cookie duration is 180 days. Cookies may be blocked, deleted, or overwritten by users, browsers, or subsequent affiliate clicks, in which case a sale may not be attributed to you. Our tracking systems and records are the sole and final basis for determining attribution and Commissions.

5. Commissions

You earn Commissions only on Qualifying Sales validly attributed to you. Commission rates are set at the Program level and published in your dashboard; we may change rates, structures, and eligible products at any time, with changes applying to sales occurring after the change. Commissions are calculated on the net sale amount and exclude taxes, shipping, currency-conversion costs, and processing fees. You may not earn Commissions on your own purchases or on purchases made through your own accounts or those of related parties.

6. Payout terms

Commissions for Qualifying Sales are paid on a NET-60 basis, approximately sixty (60) days after the end of the month in which the sale qualifies, which allows time for the refund and chargeback window to close. Payments are made in USD once your balance meets the minimum payout threshold published in your dashboard, using the payout method you designate. You are responsible for providing accurate payout and tax details. We may withhold payment where required by law, where tax documentation is missing, or where an account is under review. Balances in inactive or abandoned accounts may be forfeited as permitted by law.

7. Refunds, chargebacks, and clawbacks

Commissions are provisional until the associated sale becomes final. If a sale is later refunded, cancelled, charged back, or found to be fraudulent, the related Commission is reversed and clawed back, and we may deduct it from your current or future balance or create a negative balance carried forward. We may also delay or withhold Commissions pending investigation of suspected fraud or abuse.

8. Prohibited conduct and marketing restrictions

You must promote the Services lawfully, honestly, and in good faith. The following are strictly prohibited and may result in immediate termination and forfeiture of Commissions:

• self-referrals or purchases through your own or related accounts to generate Commissions;
• cookie stuffing, forced clicks, iframe tricks, or any technique that sets tracking cookies without a genuine user click;
• spam of any kind, including unsolicited email, messages, or comments, in violation of CAN-SPAM, CASL, GDPR, or other laws;
• bidding on or using our trademarks or brand terms (including misspellings) in paid search or ads, or using brand or typosquatting domains, without our prior written permission;
• misleading, false, or deceptive claims, including guarantees of income or profit, or presenting ZynAlgo as a broker, investment advisor, or fund manager;
• fake reviews, fabricated testimonials, or impersonation of ZynAlgo or its staff;
• posting affiliate links on coupon, deal, cashback, or piracy sites without our prior written permission;
• promotion on sites or channels containing illegal, infringing, adult, hateful, or otherwise objectionable content; and
• any use of our intellectual property outside the limited license in Section 10.

9. Income claims and required disclosures

You must not make earnings, income, or performance guarantees, and you must present any results in a manner consistent with our Earnings Disclaimer and applicable advertising laws. You must clearly and conspicuously disclose your affiliate relationship with ZynAlgo wherever you promote the Services, as required by the U.S. Federal Trade Commission’s endorsement guidance and comparable rules. You must not describe ZynAlgo as providing financial advice or fund management.

10. Intellectual property and brand license

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the affiliate links and approved ZynAlgo and IndicatorAssets marks and creatives solely to promote the Services during your participation. You must follow any brand guidelines we provide, must not modify our marks or creatives, and must not register any confusingly similar name, domain, or handle. This license ends automatically on termination, and you must promptly remove our marks and links.

11. Fraud detection and enforcement

We monitor Program activity for fraud and abuse using technical and behavioral signals. Where we reasonably suspect fraud, cookie manipulation, self-dealing, prohibited marketing, or any breach of these Terms, we may withhold, reverse, or forfeit Commissions, suspend or immediately terminate your participation, and pursue any other available remedy. Our determinations regarding fraud, attribution, and Commissions are final.

12. Relationship of the parties

You are an independent contractor. Nothing in these Terms creates any partnership, joint venture, agency, franchise, or employment relationship. You have no authority to make any representation, warranty, or commitment on our behalf, or to bind us in any way.

13. No guarantee of earnings

Participation in the Program does not guarantee any income. Your earnings depend on your own efforts, methods, audience, and market conditions. See our Earnings Disclaimer for further detail.

14. Confidentiality

You must keep confidential any non-public information we provide in connection with the Program, including non-public rates, tools, and reporting, and must not use it except to participate in the Program.

15. Term and termination

These Terms apply while you participate in the Program. Either party may terminate at any time, with or without cause. On termination, your affiliate links and license will be disabled, and you must stop using our marks. We will pay Commissions for Qualifying Sales earned before termination in accordance with Sections 6 and 7, except that we may withhold or forfeit Commissions where termination results from fraud, abuse, or a material breach.

16. Changes to the program and these terms

We may modify the Program, including Commission rates, cookie duration, eligible products, and these Terms, at any time. Changes are effective when posted or otherwise communicated, and your continued participation constitutes acceptance, to the extent permitted by law.

17. Taxes

You are solely responsible for all taxes on your Commissions. You must provide any tax documentation we reasonably request (for example, IRS Form W-9 or W-8), and we may withhold or report amounts as required by law.

18. Compliance with laws

You must comply with all applicable laws in your promotional activity, including advertising, consumer-protection, anti-spam, data-protection, and U.S. sanctions and export-control laws. You may not participate from, or promote to, any restricted or sanctioned jurisdiction or party.

19. Disclaimers and limitation of liability

The Program is provided "as is," without warranties of any kind. To the maximum extent permitted by law, and as further set out in our Terms of Service, our total liability relating to the Program will not exceed the total Commissions paid to you in the six (6) months preceding the event giving rise to the claim, and we will not be liable for any indirect, incidental, special, or consequential damages.

20. Indemnification

You agree to indemnify, defend, and hold harmless ZynAlgo and its owners, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your promotional activity, your content, or your breach of these Terms or any law.

21. Dispute resolution

Any dispute arising out of or relating to these Terms or the Program is subject to the dispute-resolution, binding-arbitration, class-action-waiver, and governing-law provisions of our Terms of Service, which apply to these Terms as if set out in full here (Wyoming law and venue).

22. General

• Entire Agreement. These Terms and the documents referenced form the entire agreement regarding the Program.
• Assignment. You may not assign these Terms; we may assign them freely.
• Severability. If any provision is unenforceable, the remainder stays in effect.
• No Waiver. Our failure to enforce a provision is not a waiver.
• Notices. We may provide notices by email or by posting in the affiliate dashboard.
